Minutes and Resolution of Annual General Shareholders Meeting 2015

On 27 March 2015, Vietnam International Bank (VIB) successfully organised its annual general shareholders meeting (GSM) 2015 in Hanoi. The meeting was attended by the bank’s shareholders and representatives from the State Bank of Vietnam. During the meeting, VIB’s shareholders approved the following reports and proposals:

• Report on management in 2014 and orientation for management in 2015;
• The Board’s report on business results in 2014 and business plan in 2015;
• Report on restructuring, handling bad debts until 31 December 2014; plan and implementation measures in 2015;
• GSM’s authorisation for the Board in terms of business activities in the middle of GSM 2015 and 2016;
• 2014 audited financial statements;
• Profit distribution plan and funds establishment in 2014;
• Remuneration of the Board and Supervisory Board for 2014 and total remuneration estimated for 2015;
• 2015 charter capital increasing plan by issuing bonus shares;
• The Supervisory Board’s report;
